Rev Rec Engine is a software tool that generates revenue recognition information, calculations, and suggested accounting treatments based on data you provide. Rev Rec Engine does not provide accounting, auditing, tax, legal, or other professional advice, and your use of Rev Rec Engine does not create a certified public accountant–client, fiduciary, or other professional relationship between you and Rev Rec Engine, Inc. Rev Rec Engine, Inc. is not your accountant or auditor.
All outputs, including any revenue recognition determinations, performance-obligation analyses, transaction-price allocations, journal entries, schedules, and disclosures, are provided for informational purposes only and represent automated suggestions, not professional conclusions. You are solely responsible for your books, records, and financial statements. You should engage a licensed certified public accountant or other qualified professional to review any output before relying on it, recording it in your books, or using it in financial statements, filings, or other reporting.
2. Disclaimer of Warranties
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, Rev Rec Engine, Inc. DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Rev Rec Engine, Inc. DOES NOT WARRANT THAT ANY OUTPUT IS ACCURATE, COMPLETE, CURRENT, OR COMPLIANT WITH GAAP, ASC 606, OR ANY OTHER STANDARD, LAW, OR REGULATION, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
3. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, Rev Rec Engine, Inc. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY COSTS OF FINANCIAL RESTATEMENT, AUDIT, TAX PENALTIES, OR REGULATORY ACTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR RELIANCE ON THE SERVICE OR ANY OUTPUT, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF Rev Rec Engine, Inc. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, Rev Rec Engine, Inc.’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE TOTAL AMOUNTS YOU PAID TO Rev Rec Engine, Inc. FOR THE SERVICE IN THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
4. Your Responsibilities
You represent and agree that: (a) you are solely responsible for the accuracy and completeness of all data you input into the Service; (b) you remain solely responsible for your own books, records, financial statements, and reporting decisions; (c) you will independently verify all outputs and have them reviewed by a qualified professional before relying on them; and (d) you will not rely on the Service as your sole basis for any accounting, tax, financial reporting, or compliance decision.
5. Accuracy of Inputs
Outputs are generated from, and depend entirely on, the data and configurations you provide or connect (including data imported from third-party systems such as QuickBooks). Rev Rec Engine, Inc. does not independently verify your inputs and is not responsible for outputs that are inaccurate or incomplete as a result of inaccurate, incomplete, or misconfigured inputs.
6. Indemnification
You agree to indemnify, defend, and hold harmless Rev Rec Engine, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of or reliance on the Service or any output; (b) the data you input; (c) your financial statements, filings, or reporting decisions; or (d) your breach of these Terms.
